Common and Preferred Stock Characteristics

What are some similarities and differences between common stock and preferred stock? As a shareholder, would you want preferred or common stock? Explain why. As a corporation, would you rather issue preferred or common stock? Explain why.

Both common and preferred stock have characteristics that they can pay dividends.  I think many companies try to save up for either improving their condition or else looking forward to make moves for mergers, new product offerings, etc. so they may not pay much out to the shareholders.  I think many stockholders don't mind because they can see the company becoming more valuable and maybe could take advantage of capital gains.  Which would you prefer, dividends or capital gains?

Basic & Diluted EPS

What are the differences between basic and diluted earnings per share? What are the differences between the numerator and the denominator in the basic and diluted earnings per share calculations? As an investor, do you evaluate a company as a potential investment using basic or diluted earnings per share? Explain why.

Do any of you have SOX experience and if so maybe you could enlighten us as to why this experience is so valuable?  What type of SOX experience have you had?  For those of you that have not had SOX experience, why do you think this type of experience would be so valuable?

Have any of you had your companies or yourselves affected by the economy?  What did your company do as a result of this?  How has it affected you personally?
